A taxing jurisdiction, deliberately used
International Business & Asset Holding in Oman
Oman taxes corporate profits and withholds on certain payments abroad. That is not a drawback for every structure.

Being taxed can be the point
Structures that need a genuinely tax-resident entity with treaty access are often better served by a jurisdiction that actually taxes than by a zero-tax one, because residence and substance are easier to demonstrate. Oman has corporate income tax, withholding tax on some outbound payments and a treaty network. The planning question is whether that profile helps or hinders your particular structure.
- Tax profile assessed as a feature, not just a cost
- Withholding tax on outbound payments addressed early
- Zone incentives compared against mainland treatment
Mainland, free zone and offshore jurisdictions we file in — so the recommendation is based on your activity, not on which authority we happen to be registered with.

Settle these first
The questions that decide the structure
Residence and withholding dominate.
| Question | Why it decides the structure |
|---|---|
| Do you need demonstrable tax residence? | A taxing jurisdiction makes that easier. |
| Will treaty benefits be claimed? | Residence and substance must be real. |
| What payments go abroad? | Withholding tax may apply to them. |
| Mainland or a zone? | Incentives change the effective rate. |
| Where are decisions taken? | Management and control is tested. |
| What advice exists at the other end? | The destination country decides much of it. |
Corporate income tax rates, withholding tax, zone incentives and treaty access are set by law and change, and treatment also depends on rules in other countries. We co-ordinate with advisers elsewhere rather than opining on their law.
How it works
Working through it properly
Model the withholding before you sign anything.
Map the facts
Ownership, where decisions are taken, income flows, and which payments will leave Oman and to whom.
Model the tax position
Mainland against zone treatment, the effect of withholding on your intended payment flows, and what substance a treaty claim needs.
Establish and document
Entity registered once agreed, substance arrangements implemented and the commercial basis documented from the outset.
- Commercial purpose of the structure
- Current group structure chart
- Shareholder nationalities and tax residences
- Countries where activity or investment sits
- Royalty, interest, service and management fee flows
- Whether treaty benefits are intended
- Whether a zone location is being considered
- Who will direct the entity and from where
- Planned local expenditure and employment
- Banking relationships required
- Existing advice in other countries
- Timeline and what is driving it

Questions
Oman international structuring — FAQs
Why use a jurisdiction that taxes?
Because structures needing demonstrable tax residence and treaty access often fare better from a taxing jurisdiction than a zero-tax one, where residence is harder to evidence.
What payments attract withholding tax?
Certain outbound payments such as royalties and some service fees can be within scope. It needs modelling before contracts are signed, not after.
Do zone incentives change the analysis?
Materially. A zone location can alter the effective rate substantially, but it also constrains what the entity may do and where it may sell.
What substance will a treaty claim need?
Real decision-making, premises and activity in Oman proportionate to what is claimed. We set out what that means and costs.
Do I need advice in the other country?
Almost always. Omani advice alone does not settle how a position is treated where the income arises or the owners are resident.
