Foreign Company Subsidiary Registration in Bahrain
Bahrain permits full foreign ownership across a wider range of activities than its neighbours. That is the reason groups use it.

Ownership is rarely the obstacle here
Unlike several neighbouring states, Bahrain allows wholly foreign-owned companies across most commercial activities without a special investment licence, and it recognises a dedicated holding company form. What actually governs the timeline is attestation of the parent’s documents and getting the chosen activity activated rather than merely listed on the registration.
- Ownership position confirmed against the activity list
- Parent document attestation sequenced correctly
- Activity activation pursued, not assumed

Subsidiary options and the branch alternative
A subsidiary is usually the cleaner answer.
| WLL subsidiary | Holding company | Branch | |
|---|---|---|---|
| Separate legal entity? | Yes | Yes | No |
| Foreign ownership | 100% for most activities | 100% | 100% of the branch |
| Purpose | Trading and operations | Holding shares in other companies | Operating as the parent |
| Parent liability | No | No | Yes |
| Parent particulars filed | Shareholder details only | Shareholder details only | Full parent particulars |
| Activity activation | Required for the operating activity | Per the holding purpose | Required |
The permitted activity list, ownership rules and the holding company form are set by the Ministry and change. Your activity is checked before any application. Most Bahraini commercial registration work runs through Sijilat, the Ministry’s online portal, which makes the mechanics faster than in neighbouring states — but it also means an application is assessed on what you entered, so the activity description and supporting documents have to be right the first time.
How it works
Registering the subsidiary
Attestation starts on day one.
Confirm activity and ownership
Whether the intended activity permits full foreign ownership, and whether an operating company or the holding form fits.
Attest and register
Parent documents legalised and translated, the memorandum prepared and the commercial registration issued through the portal.
Activate and operate
The activity activated, work permits and payroll established, VAT registration completed and the bank account opened.

Questions
Bahrain subsidiary — FAQs
Can the parent own 100% of a Bahraini subsidiary?
For most commercial activities, yes, without a special investment licence. That openness is Bahrain’s main structural advantage in the region, though some activities remain restricted.
What is the holding company form?
A dedicated legal form whose purpose is holding shares in other companies rather than trading. It suits a group holding layer better than an operating company does.
What is activity activation?
An activity can sit on the registration without being activated, which means you cannot yet lawfully carry it on. It is the step most often assumed to be automatic.
Is a branch simpler than a subsidiary?
Rarely. The parent carries liability and its particulars are filed. With full foreign ownership available to a subsidiary, the usual reason for a branch disappears.
How long does it take?
Attestation of the parent’s documents abroad drives the timeline. Registration through the portal itself is fast by regional standards.
