Company Deregistration & Winding Up in Hong Kong
A Hong Kong company left dormant keeps accruing obligations. Deregistration is the clean route, and it has conditions.

Abandonment is the expensive option
Directors sometimes stop filing and assume the company lapses. It does not — annual return and Business Registration obligations continue, penalties accrue, and directors can face prosecution. Deregistration exists precisely to avoid that.
- Deregistration or winding up assessed properly
- Tax clearance obtained before applying
- Directors’ exposure explained honestly

Know the options
Ways out of a Hong Kong company
Deregistration is simpler but only available if conditions are met.
| Option | When it fits | What it involves |
|---|---|---|
| Deregistration | Solvent, dormant or ceased, all members agree | IRD notice of no objection, then application to the Registry |
| Members’ voluntary liquidation | Solvent but not eligible to deregister | A liquidator and a formal process |
| Creditors’ voluntary liquidation | Insolvent | A formal insolvency process |
| Share transfer | Someone wants the company | Transfer with stamping, and officer changes |
| Dormancy | A genuine pause | A specific statutory status, not simply not trading |
| Abandonment | Never advisable | Penalties accrue; directors remain exposed |
Deregistration conditions, clearance requirements and timing are set by the Hong Kong authorities and change. Your route is confirmed before anything is started.
How it works
Closing properly
Tax clearance comes before the Registry application.
Assess the route
Whether the company meets the deregistration conditions, or whether liquidation is required. Sometimes a transfer is the better answer.
Clear outstanding filings and tax
Outstanding returns brought up to date and a notice of no objection obtained from the Inland Revenue Department.
Apply and complete
Deregistration application filed with the Companies Registry, with members’ agreement documented, through to dissolution.

Questions
Hong Kong closure — FAQs
What happens if I just stop filing?
Obligations continue, penalties accrue and directors remain exposed, including to prosecution for persistent default. The company is not quietly extinguished.
Deregistration or liquidation?
Deregistration is simpler and cheaper but only available where the company is solvent, has ceased or never traded, members agree and the IRD has no objection. Otherwise liquidation applies.
How long does deregistration take?
It is a sequence with a notice period and objection window, so months rather than weeks. Outstanding filings must be cleared first.
Do I need tax clearance?
Yes. A notice of no objection from the Inland Revenue Department is required before the Registry application, and it will not be issued with returns outstanding.
Can a dissolved company be restored?
There are restoration routes, but they are costly and slow compared with closing properly in the first place.
