Narrowly available
Foreign Company Branch Registration in Kuwait
Kuwait has historically restricted foreign company branches. Availability is the first question, not the process.

Start by asking whether it is possible
Operating in Kuwait through a branch of the overseas company is not a generally available option in the way it is in many jurisdictions. Where it is possible it tends to be through the investment licensing route or in connection with a defined mandate, and it brings parent liability with it. Because the same licensing route can deliver a wholly owned subsidiary, the branch rarely wins on the merits.
- Availability established before any work is done
- Honest comparison against a licensed subsidiary
- Parent exposure and tax treatment set out plainly

What it means
The shape of a Kuwaiti branch
Compare it against the subsidiary the same route offers.
| Question | Branch | Licensed subsidiary |
|---|---|---|
| Separate legal entity? | No | Yes |
| Who carries liability? | The parent | The subsidiary |
| Availability | Narrow, and route dependent | Available for approved activities |
| Scope | Often tied to a defined mandate | As licensed and registered |
| Parent particulars | Filed | Shareholder details only |
| Tax | On Kuwaiti-source profits | On the foreign-owned share |
Branch availability, approval criteria and permitted scope are set by the authorities, are discretionary and change. Kuwait runs two parallel ownership routes: the default Companies Law route, where most activities expect Kuwaiti participation, and a direct investment licence permitting up to full foreign ownership for approved activities. Which applies is settled before any filing.
How it works
Establishing whether a branch is possible
We test availability before preparing anything.
Test availability
Whether a branch is open to you at all on your facts, and on what basis. Often the answer redirects to a subsidiary.
Attest and apply
Where available, parent documents legalised and translated and the approval and registration pursued.
Operate and plan the exit
Tax registration, manpower file and payroll established, with the wind-down planned at the outset.
From the parent

- Certified Arabic translations of each
- The mandate or contract the branch relates to

Questions
Kuwait branch registration — FAQs
Can any foreign company open a branch in Kuwait?
No. Branch operation is narrowly available and route dependent rather than a general option, which is the first thing to establish.
Why would a subsidiary be better?
Because the same licensing route can deliver a wholly owned subsidiary without exposing the parent to liability or putting its constitutional documents on the record.
Is the parent liable?
Yes, fully. That is the central difference and it is not something to accept lightly.
How is a branch taxed?
On its Kuwaiti-source profits, with audited accounts and filings required, and the contract retention applying to its receipts.
What happens at the end of the mandate?
The branch is wound up, with tax clearance required before closure completes. We plan that at the start so it is orderly.
